Agreement Details

This Business Development Support Services Agreement ("Agreement") is entered into by and between Boot & Boost Entrepreneur LLP ("Service Provider") and the undersigned Client. 2. Payment Terms

The Client agrees to pay Boot & Boost Entrepreneur LLP for the Services as per the selected billing cycle. All prices are in Indian Rupees (INR) and exclude Goods and Services Tax (GST) at 18%, which will be added to the invoice.

• Payment Schedule: Invoices will be issued at the start of each billing cycle, payable within 15 days via bank transfer, UPI, or other methods specified by the Service Provider.
• Late Payments: Overdue payments will incur a 1.5% monthly interest charge.
• Custom Requests: Additional services outside the scope of this Agreement will be quoted separately.

3. Additional Terms

Term and Termination: This Agreement shall commence on the Effective Date and continue based on the selected billing cycle unless terminated earlier by either Party with 30 days’ written notice. Termination does not relieve the Client of the obligation to pay for Services rendered up to the termination date.

Client Responsibilities: The Client agrees to provide timely access to necessary information, systems, and resources; respond promptly to Service Provider requests; and ensure compliance with applicable laws.

Confidentiality: Both Parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the term of this Agreement. This obligation survives termination.

Limitation of Liability: Boot & Boost Entrepreneur LLP shall not be liable for any indirect, incidental, or consequential damages. Total liability shall not exceed the fees paid by the Client in the preceding 12 months.

Governing Law: This Agreement shall be governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts in [City, State, to be confirmed via bootboost.in].

Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. Amendments must be in writing and signed by both Parties.

2. Payment Terms

All prices are based on the Standard Plan, with additional charges for Business Automation with CRM & IVR (INR 10000 monthly extra) and Growth Hacking on Sales Target (calculated as 1% of sales target T) – INR 2,50,000, or 15% of sales, whichever is less for the time frame. Entry cost after free standard inclusions mentioned above. All prices are in Indian Rupees (INR) and exclude Goods and Services Tax (GST) at 18%, which will be added to the invoice.

Growth Hacking Fee: INR 0 (based on target)

Advance Payment: Payment for services and/or products must be made in advance prior to the commencement of any work or delivery.

Commission: The company reserves the right to retain a commission of 2% on all sales of your services and/or products facilitated through its platform or network.

Disclaimer on Target Achievement: Please note that the actual outcome may vary depending on various business factors. While we aim to meet the set targets, results may exceed the goal (e.g., achieving up to 150%) or may fall short (e.g., achieving only 50%) within the fiscal year.

As business involves inherent risks and uncertainties, such variations are to be expected. In case of shortfall, efforts will continue in the subsequent fiscal year to fulfill the remaining objectives.
